This Agreement is governed by and construed in accordance with the laws of the State of New York, without regard to its conflicts‑of‑law provisions. You agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Westchester County, New York, for any dispute arising under this Agreement. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will continue in full force and effect. This Agreement represents the entire understanding between you and Guardians regarding the Site and supersedes any prior agreements. You may not assign any rights without our prior written consent, and any waiver of any breach must be in writing. Section headings are for reference only and do not affect legal interpretation.
